II. GENERAL TERMS OF SALE

PREAMBLE

The website is published by the seller, FENG SHUI TRADITION, whose registered office is located at 202 Chemin de l’Abreuvoir, 07430 Saint-Clair, and registered with the Nimes Trade and Companies Register under B 905 396 776.

The seller is not subject to VAT under Article 293 B of the French Tax Code (CGI).

The following provisions define the general terms of sale on the website www.feng-shui-tradition.eu.

These General Terms of Sale (hereinafter “GTS”) define the contractual rights and obligations of the seller and the client in the context of distance sales and electronic sales of goods and products.

The GTS govern exclusively the relationship between the seller and the client.

The GTS represent the entire obligations of the parties. The client is deemed to accept them without reservation; otherwise, their order will not be validated.

In case of doubt regarding any sales condition, the practices in effect in the distance-selling sector for companies headquartered in France, as well as the French Consumer Code, shall apply.

The seller reserves the right to modify the GTS from time to time. Changes take effect as soon as they are posted online.

ARTICLE 1. ONLINE CATALOG OR SHOP

Through the website, the seller provides the client with a catalog or online shop presenting the products sold as accurately as possible; however, photographs do not have contractual value.

Products are described and presented with the utmost accuracy. However, in the event of errors or omissions in the presentation, the seller’s liability cannot be engaged.

Products are offered while stocks last.

The prices and taxes applicable to the sale of products are indicated in the catalog or online shop.

ARTICLE 2. PRICES

The seller reserves the right to modify its prices at any time by publishing them online.

Only the rates in effect at the time of the order shall apply, subject to product availability on that date.

Prices are indicated in euros (excluding taxes and including all taxes).

Prices take into account taxes applicable on the day of the order, and any changes in tax rates will automatically be reflected in the price of products in the catalog or online shop. If one or more taxes or contributions, including environmental taxes, are created or modified (increased or decreased), this change may be reflected in the product sale price.

The total amount of the order (all taxes included) is indicated before final validation of the order form.

Payment of the total price must be made at the time of the order.

ARTICLE 3. ONLINE ORDER

The client may complete an online order form via an electronic form. By completing the electronic form, the client accepts the price and description of the products.

The client must accept, by clicking in the designated area, these General Terms of Sale for the order to be validated.

The client must provide a valid email address and acknowledges that all communication with the seller may be conducted through this address.

The client must also choose the delivery method and validate the payment method.

The seller reserves the right to block the client’s order in case of non-payment, incorrect address, or any other issue with the client account until the issue is resolved.

ARTICLE 4. ORDER CONFIRMATION AND PAYMENT

Orders placed on the website constitute obligatory payment orders, meaning that placing an order implies the client’s obligation to pay.

1. PAYMENT

The client makes payment at the time of final order validation by providing their credit card number.

The client guarantees to the seller that they have the necessary authorizations to use this payment method and acknowledges that the information provided constitutes proof of their consent to the sale and the payment obligation arising from the order.

In the event of a dispute or fraudulent use of a credit card without physical use of the card (use of the card number), any person may file a claim within 70 days from the date of the transaction, according to the following procedures, so that the seller bears the sale costs and refunds the disputed amount:

The client may contact the Company:

By phone: +33 4 69 21 41 78

By email: luc@feng-shui-tradition.com

Any dispute not filed in accordance with the above rules and within the specified time will not be considered, and the seller will be released from any liability.

The seller has implemented a procedure to verify orders and payment methods to reasonably protect against fraudulent use of payment methods, including requesting identification data from the client.

In case of refusal of credit card authorization by the issuing banks or in case of non-payment, the seller reserves the right to suspend or cancel the order and its delivery.

The seller also reserves the right to refuse an order from a buyer who has not fully or partially paid a previous order or with whom a payment dispute is ongoing.

CONFIRMATION

Upon receipt of the client’s order validation and payment, the seller sends the client a confirmation of receipt of the order and a copy of the contract to print, to the email address provided by the client.

Full payment must be made at the time of the order.

The seller is required to issue an invoice to the client upon delivery.

For any questions regarding the order, the client may contact customer service at:

By phone: +33 4 69 21 41 78

By email: luc@feng-shui-tradition.com

ARTICLE 5. ELECTRONIC SIGNATURE

In accordance with the provisions of French Law No. 2000-230 of 13 March 2000, providing the client’s credit card number online and the final validation of the order constitutes proof of the client’s agreement, the payment obligation arising from the order, and their express acceptance of all transactions carried out.

ARTICLE 6. PROOF OF TRANSACTION

Communications, orders, and payments between the client and the seller may be proven through computerized records maintained in the seller’s IT systems under reasonable security conditions. Order forms and invoices are archived on reliable and durable media, considered valid proof.

ARTICLE 7. PAYMENT METHODS

All payment methods made available to the client are listed on the seller’s website. The client guarantees to the seller that they have the necessary authorizations to use the selected payment method at the time of placing the order.

ARTICLE 8. RIGHT OF WITHDRAWAL

In accordance with Article L. 121-21-8 of the French Consumer Code, the user cannot exercise the right of withdrawal once the product has been made available, and for downloaded digital files, from the moment they have given their prior express consent for execution.

ARTICLE 9. FORCE MAJEURE

The parties shall be exempt from their obligations if an event constituting force majeure, as defined in Article 1218 of the French Civil Code, prevents performance. In such a case, the obligations of the parties shall be suspended.

The party invoking such a circumstance must notify the other party immediately upon its occurrence and disappearance.

Force majeure events include all irresistible, unpredictable, and unavoidable events that cannot be prevented despite all reasonable efforts, as defined by French case law, including transportation or supply blockages, earthquakes, fires, storms, floods, lightning, and telecommunications network failures.

If a force majeure event lasts longer than three months, these terms and conditions may be terminated by the affected party.

ARTICLE 10. PARTIAL INVALIDITY

If one or more provisions of these General Terms of Sale are declared null or void by law, regulation, or a final decision of a French court, the remaining provisions shall remain fully valid and enforceable.

ARTICLE 11. APPLICABLE LAW AND JURISDICTION

The seller is established in France in a stable and permanent manner to effectively carry out their activity, regardless of the location of their registered office in the case of a legal entity.

These GTS are governed by French law, excluding the provisions of the Vienna Convention.

In case of a dispute or claim, the client should first contact the seller to seek an amicable solution.

If no amicable agreement is reached, consumers may initiate proceedings before the court of their choice and the professionals may initiate proceedings before the court where the seller’s registered office is located.

The GTS take effect from the date of their latest update indicated at the top of these terms and apply to the exclusion of all other conditions, including those applicable to sales through other distribution or marketing channels.

Acceptance of the GTS: Before placing an Order, the Client acknowledges that they have read and accepted the GTS, thereby agreeing unreservedly to their terms. By this acceptance, the Client confirms that prior to placing any Order, they received sufficient information and advice from the Company via the Site to ensure that the content of the Order meets their needs. The GTS constitute the entire agreement between the parties regarding their contractual relationship.

By placing an Order, the Client declares that they are of legal age and capable of contracting under the laws of their country, or, if applicable, that they are acting with a valid mandate on behalf of the person for whom they subscribe to the Program. In any case, the Client guarantees that they have the necessary authorizations to use the selected payment method when validating the Order.

Unless proven otherwise, the data recorded by the Site constitutes proof of all facts, acceptances, and transactions.

The Company reserves the right to provide special conditions for its Program, special offers, warranties, etc., which will be communicated to the Client prior to the Order. The fact that the Company, at any given time and for any reason, does not invoke a breach by the Client of any obligation contained herein shall not be interpreted as a waiver of its right to do so in the future.

Article 3. PROGRAM FEATURES

Presentation: The Client may refer to the Program presentation on the Site, which is summarized on the Order page and in the confirmation email. The Client is expressly informed that any Program offering is subject to change. Only the Program described at the time of the Order is owed to the Client. Language: The Program is provided by the Company in French.

Outside of such an offer, Program updates are not included. An annual subscription may need to be purchased in addition to the Program.

Telephone Consultation: An optional and free personalized consultation is offered by the Company to the Client prior to subscribing to the Program via the Site. Interested Users may select a convenient date and time by providing certain personal information (name, email, phone number) and answering questions related to their current or future professional activity. Any scheduled appointment must be honored by the User. If the User fails to attend a scheduled appointment, the Company reserves the right to refuse to schedule a new appointment.

Delivery of Modules: For online training that includes one or more modules, delivery refers to making available the first module, session, or document of the ordered training using the Login Credentials created by the Client or provided by the Company after the Order, or by any other electronic delivery method specified at the time of the Order. The Client expressly agrees that immediate access to all modules after the Order cannot be requested and that modules will be delivered according to the terms set out in the contract.

Contribution Spaces and Online Groups (“Groups”): The Company may provide Clients with support groups or online contribution spaces, accessible on the Site or on third-party sites such as online platforms. Access to a Group may be subject to the Client submitting a request to join the Group. The Company may create or delete Groups according to the needs of its activity. In case of difficulty accessing a Group included in the Program, the Client should contact the Company by email. Except in cases of exceptional request volume, requests to join a Group and assistance requests will be processed within 72 hours.

Unless otherwise indicated at the time of the Order, access to a Group is not included in the Program price. Access to a Group is guaranteed continuously, even after the Program ends.

Use of these Groups may be subject to compliance with usage rules established by the Company and, if applicable, by the platform hosting the Group. In case of non-compliance with these rules, the Company reserves the right to warn, sanction, or revoke the Client’s access rights, without prejudice to measures that may be taken by the platform operator.

In any case, the Client must refrain from publishing or posting any content prohibited by law or regulation, or that infringes the rights of third parties or the Company. The Client is also expressly informed that such publications or content may lead to legal action by the Company or by third parties affected.

Furthermore, the Company does not exercise any control over Groups that are not created by it but by third parties, including Clients, and over which it does not have administrative authority. The Company cannot, under any circumstances, be held responsible for the actions of members of such Groups or for any damage resulting from the use of Groups not under its control or administration.

Article 4. DURATION OF THE PROGRAM

The Program is provided to the Client for the duration specified on the Site at the time of the Client’s Order. For digital content or digital service offerings, the Client is expressly informed that certain promotions may be subject to a minimum commitment period, which will be specified at the time of the Order.

When no duration is defined, the Program remains accessible for at least ten years and will be renewed after full delivery of the Program. The Company may withdraw access at any time thereafter. In the case of purchasing an online training course or any other digital content access offer, materials are provided in PDF, audio, or video format, which the Client is responsible for downloading in their latest version before the expiration of their access rights to the Program.

Article 5. ORDER

Ordering on the Site: After selecting the Program they wish to subscribe to on the Site, the Client is directed to an Order page where they provide their personal information and payment details (one-time payment or installments, payment method). The Client is solely responsible for the accuracy of the information provided and guarantees the Company against any false identity. In particular, the Client must have a functional email account for sending and receiving messages. Otherwise, they will not be able to receive written confirmation of their Order at the provided email address, nor their access credentials for the Program.

The Client cannot hold the Company responsible for any failure resulting from inaccurate or false information provided at the time of the Order, which will be used to deliver the Program.

Payment Obligation: Any Order submitted to the Company is considered firm and final, entails full acceptance of the GTS as provided herein, and creates an obligation to pay for the entire Program ordered.

Electronic Signature: Providing the Client’s bank details online and the final validation of the Order constitutes (i) proof of the Client’s agreement, (ii) the enforceability of the amounts due under the Order, and (iii) the Client’s express signature and acceptance of all operations carried out during the Order on the Site (checkbox, click-to-validate, etc.).

Order Validation: After reading and accepting the GTS on the Order page, the Client is directed to a summary page of their Order, where they provide their bank details before validating the payment. It is the Client’s responsibility to verify the summary information of their Order and correct it if necessary before validating payment. This second click constitutes the Client’s definitive confirmation of the Order.

Order Confirmation: The Client receives an email confirming and summarizing their Order as soon as the payment is effectively validated by the Company or its payment service provider.

Proof of Transaction: The computerized records maintained in the Company’s IT systems under reasonable security conditions shall be considered proof of communications, Orders, and payments between the parties. The archiving of Order forms and invoices is performed on a reliable and durable medium, which may be presented as evidence.

Article 6. PRICING TERMS

Applicable Prices: The Program subscribed to is provided at the prices in effect on the Site at the time the Client’s Order is recorded by the Company. The Client may obtain up-to-date information on all applicable prices and any maintenance fees by contacting the Company at: luc@feng-shui-tradition.com.

Prices are indicated in euros and include the VAT applicable on the day of the Order. Any change in the applicable VAT rate will automatically be reflected in the price of the Program. Prices shown on the Site are inclusive of all taxes. It is the responsibility of professionals to carry out any necessary verification and comply with their tax obligations, including VAT, for which the Client alone is responsible.

For international sales, all customs duties and other taxes are the responsibility of the Client and remain solely their responsibility. The Company cannot assume any liability in this regard.

Payment Obligation: Validation of the Order renders all amounts due under it payable. By validating their Order, the Client authorizes the Company (or its Partners, payment service providers) to send instructions to their bank to debit the account whose details were provided by the Client, according to any installments indicated in the Order summary.

Payment Methods: To pay for their Order, the Client may choose from all payment methods made available by the Company on the Site.

Direct Debit: The Client may select the bank debit method using secure systems and services provided by third parties on the Site, subject to their own contractual terms over which the Company has no control—for example, Stripe (https://stripe.com/payment-terms/legal), PayPal (https://www.paypal.com/fr/webapps/mpp/ua/legalhub-full?locale.x=fr_FR), or GoCardless (https://gocardless.com/fr-fr/legal). In this case, payment is made via SEPA direct debit or using the bank card information provided, according to the payment method offered by the payment service provider and chosen by the Client. The Company reserves the right to use any payment service providers of its choice and to change them at any time.

Authorization to Debit: By providing their banking information during the sale, the Client authorizes the Company to debit their account for the amount of the price indicated on the Site for the Program. The Client guarantees to the Company that they are of legal age and have any necessary authorizations to use the selected payment method when validating the Order form.

Special Offers and Discount Codes: The Company reserves the right to offer limited-time launch promotions, special offers, or price reductions for its Program and to revise its offers and prices on the Site at any time in accordance with the law. Applicable prices are those in effect at the time of the Client’s Order, and the Client cannot claim any other prices, whether prior or subsequent to their Order. Discount codes may be subject to specific conditions and are strictly personal to the beneficiary and usable only once.

Payment Incidents – Fraud: The Company reserves the right to suspend any processing of the Order and delivery of the Program in case of refusal of card payment authorization by officially accredited institutions or in the event of non-payment. The Company also reserves the right to refuse to honor an Order from a Client who has not fully or partially paid for a previous Order or with whom a payment dispute is ongoing.

The Company may contact the Client to request additional documents to process the payment for the Order. The Company may rely on information provided by the Order analysis system. Providing the requested documents is necessary for the Company to confirm the Order. To prevent credit card fraud, the Company may perform a visual verification of payment methods before granting access to the Program. In the event of fraudulent use of their card, the Client is invited, upon noticing such use, to contact the Company, without prejudice to any steps the Client must take with their bank.

Default or Late Payment: Interest and penalties provided by law apply in case of default or late payment by the Client, whether consumer or professional.

Payment Installments. If the Company offers the Client the option to pay the total fixed price in multiple installments, this does not constitute a no-commitment payment or a monthly subscription, but rather a payment schedule for the Program price. The total price, corresponding to the sum of the installment payments, is due regardless of the number of installments planned. The final payment date is never set more than three months after the end of the Program provision and/or the closure of the Client’s access to the Program. This payment option does not constitute a loan or microloan.

When a multi-installment payment is offered, the first installment is due on the day of the Order, and subsequent installments are due at intervals specified in the Order summary (unless otherwise stated, one month between each payment). In this case, the Client guarantees the validity of their banking information until the final scheduled payment date. The Company reserves the right to refuse an installment Order if the credit card expires before the last payment or if the secure payment service provider objects.

Article 7. RIGHT OF WITHDRAWAL

Period. The Client may withdraw from the contract concluded with the Company without giving any reason within fourteen calendar days, starting the day after the Order (the day following the contract subscription). If the deadline falls on a Saturday, Sunday, or public holiday, it is extended to the end of the next working day.

How to exercise. To exercise the right of withdrawal, the Client must notify luc@feng-shui-tradition.com of their decision to withdraw from the contract through an unequivocal statement (e.g., letter by post, fax, or email). The Client may use the withdrawal form template, but it is not mandatory. This is a consumer right, not a commercial guarantee.

In case of withdrawal from the Program, the Company will refund the amount paid no later than fourteen days from the day following receipt of the withdrawal notice, using the same payment method as the initial transaction, unless the Client agrees to a different method.

MODEL WITHDRAWAL FORM

Please complete and return this form only if you wish to withdraw from the contract.

To [insert the professional’s name, physical address, and, if available, fax number and email address]:

I/we () hereby notify/notifies () my/our () withdrawal from the contract for the provision of the following service(s) ():

Ordered on (*):

Name of consumer(s):

Address of consumer(s):

Signature of consumer(s) (only if the form is submitted on paper):

Date:

(*) Delete as appropriate.

ATTENTION – THIS RIGHT OF WITHDRAWAL CANNOT BE EXERCISED UNDER CERTAIN CONDITIONS, SUCH AS:

Provision of fully executed services before the end of the withdrawal period, where execution began after the consumer’s express prior agreement and express waiver of the right of withdrawal;

Provision of digital content not supplied on a physical medium, where execution began after the consumer’s express prior agreement and express waiver of the right of withdrawal;

Provision of audio or video recordings or software that have been unsealed by the consumer after delivery;

Provision of newspapers, periodicals, or magazines, except for subscription contracts;

Provision of goods made to the consumer’s specifications or clearly personalized;

Provision of services such as accommodation (except residential), transport of goods, car rental, catering, or leisure activities that must be provided on a specific date or within a specific period (conference, live event, etc.);

When the Client is a professional.

If the Client requests service immediately after the Order without waiting for the withdrawal period to end but does not waive their right in the cases above, they will pay the Company an amount corresponding to the Program provided up to the point of communication of their withdrawal decision. This amount is proportional to the total price agreed upon at the time of the Order. If the total price is excessive, the appropriate amount is calculated based on the market value of what was provided.

In accordance with legal exceptions and when required by law, the Client may be asked at the time of Order to indicate their agreement to receive the Program before the end of the withdrawal period and/or to waive the right of withdrawal via a checkbox or other appropriate means. Failing this, the Company reserves the right to not send any content to the Client before the expiration of the fourteen-day period, which the Client expressly accepts.

Termination of the Program upon exercise. Exercising the right of withdrawal terminates the obligations of the parties to execute the contract or to conclude it if the consumer made an offer. Exercising the withdrawal right from a main contract automatically terminates any ancillary contracts, without any fees for the consumer other than those provided by law. The Client is therefore informed that the Company will immediately cease the Program if the right of withdrawal is exercised.

Article 8. CONDITIONS OF ACCESS TO THE SITE AND PROGRAM

Access to the Site. The Site is freely accessible to anyone with Internet access. All costs related to accessing the Site, whether hardware, software, or Internet access fees, are the sole responsibility of the User. The Company cannot be held liable for any material damage resulting from the use of the Site. Additionally, the User agrees to access the Site using up-to-date equipment, free of viruses, and with a modern, updated browser. The User is solely responsible for the proper functioning of their IT equipment and Internet access to reach the Site and the Program.

Access to the Program. The Company will provide the login credentials to access the Program no later than 24 hours from the date and time the Client placed the Order, subject to payment acceptance by the Client’s bank. It is therefore essential to provide a valid email address. Access conditions for the Program may vary depending on the exercise of the right of withdrawal, in accordance with the terms set forth in the Terms and Conditions of Sale (T&Cs) and the law.

The Client is invited to contact the Company if they have not received or have lost their credentials so that they can be reset within 48 hours. The subsequent provision of credentials releases the Company from any liability toward the Client, who cannot hold it responsible for Program unavailability.

Individual and personal nature of credentials. Any login credentials provided by the Company to the Client are strictly personal, individual, confidential, and non-transferable. The Client agrees to subscribe to the Program solely for personal use and declares that they will not resell, distribute, or rent all or part of the Program, including its content or any product received as part of the Order. A Client who does not comply with this commitment may face legal action. The Client is responsible for any unauthorized, fraudulent, or abusive use of their credentials and must immediately inform the Company of their loss or theft. In the event of a proven violation of the access conditions to the Site or Program, the Company reserves the right to suspend access to the Program without compensation, notice, or prior information.

Number of accesses. Unless specific conditions provide for broader access, subscribing to a Program grants access to a single individual only, regardless of the number of employees or locations of the Client. If the Client wishes for multiple employees, collaborators, partners, or other individuals to access the Program, they must subscribe to one contract per person requiring access.

Maintenance. The Site may undergo maintenance, and the Company reserves the right to temporarily interrupt, suspend, or modify access to all or part of the Site or Program without notice, in order to perform maintenance (including updates) or for any other reason, without this creating any obligation or compensation.

Contractual liability. The Company uses all reasonable means to ensure continuous and high-quality access to the Site and Program but is under no obligation to guarantee this. In particular, the Company cannot be held responsible for network or server malfunctions or any other events beyond its reasonable control that prevent access to the Site or Program.

Good faith use – Third-party sites. Any contribution spaces on the Site that the Client may access as part of the Program, including social networks and groups, must be used in good faith. The Client is prohibited from posting defamatory, threatening, hateful, intolerant, obscene content, or any publication that could harm the rights of the Company, other Users, third parties, or violate the law.

The Company reserves the right to refuse access to all or part of the Site, Program, contribution spaces, and groups, or to limit access rights unilaterally and without prior notice to any Client who does not comply with the T&Cs, any applicable terms of use of the Site, Program, and/or any third-party sites, platforms, or tools accessible through the Program, or more generally, any legal or regulatory obligation.

The Client agrees to inform themselves about the terms of use of all sites, social networks, platforms, and third-party tools accessible through the Program and to comply with them. The Company has no control over these terms and disclaims any responsibility in case of the Client’s ban or dispute with these third-party sites.

Article 9. WARRANTY OF CONFORMITY

The warranty of conformity is a legal guarantee that applies independently of any commercial commitment:

  1. When the contract provides for a one-time supply of digital content or a digital service, or a series of separate supply operations, the professional is responsible for conformity defects existing at the time of supply and appearing within two years from that supply.
  2. When the contract provides for digital content or a digital service to be provided on a continuous basis, the professional is responsible for conformity defects that appear during the period in which it is provided under the contract.

The professional is also responsible, within the same time frames, for conformity defects resulting from the incorrect integration of the digital content or digital service into the consumer’s digital environment, when such integration was carried out by the professional or under their responsibility, or when incorrect integration performed by the consumer results from deficiencies in the instructions provided by the professional.

This period begins from the consumer’s request for intervention or from the provision of the digital content or digital service in question, if this starting point is more favorable to the consumer.

When acting under the legal warranty of conformity, the consumer is entitled to:

  • the correction of the digital content or service, or
  • failing that, a price reduction or termination of the contract, in accordance with legal provisions.

The professional may refuse to correct the issue if it proves impossible or would involve disproportionate costs, particularly considering the significance of the conformity defect and the value of the digital content or service if there were no defect.

Additionally, the consumer may invoke the warranty against hidden defects (vices cachés), as provided by Articles 1641 to 1649 of the French Civil Code, and in that case, may choose between: contract termination, or price reduction, in accordance with Article 1644 of the Civil Code.

THE CLIENT IS EXPRESSLY INFORMED THAT THIS WARRANTY DOES NOT APPLY TO PROFESSIONAL CLIENTS OR TO SERVICES OTHER THAN DIGITAL SERVICES, WHETHER OR NOT THE PROFESSIONAL USES DIGITAL FORMATS OR TOOLS TO CREATE, DELIVER, OR TRANSMIT THE PROGRAM PRODUCT TO THE CONSUMER.

Article 10. PERSONAL DATA PROTECTION

The Company respects the privacy of its Users and Clients. It undertakes to ensure that the collection and automated processing of their data—for the purposes of managing contracts and Orders, providing and improving the Site and Program, commercial prospecting, and handling disputes—comply with the General Data Protection Regulation (GDPR) and the French Data Protection Act (Informatique et Libertés), in its latest version.

To provide the service or certain digital content, the Company may collect and process the following data concerning the Client: first and last name, email address, phone number, billing address, and banking information.

Clients’ personal data will not be retained longer than strictly necessary to fulfill the purposes stated above. Some data required to prove a right or contract may be subject to an intermediate archiving policy for a period corresponding to statutory limitations and deadlines for potential judicial or administrative actions.

In accordance with the French Data Protection Act and the GDPR, the Client or any data subject has, under applicable law, the right to access their personal data, rectify inaccurate data, limit processing, object to processing, data portability, erase data, not be subject to automated decisions, including profiling. Where applicable, the data subject also has the right to withdraw consent at any time.

The Client is informed and agrees that the Site and/or Program may include technical mechanisms that track usage (connected user account, IP address, type of application used, various connection and usage logs associated with the User account…) which may be used for anti-counterfeiting purposes and/or to identify or prevent illegal or non-compliant use of the Site.

Requests to exercise these rights can be sent by email to luc@feng-shui-tradition.com. Any data subject also has the right to file a complaint with the French Data Protection Authority (CNIL).

The Client’s phone number may be requested by the Company in connection with an Order. A consumer Client who does not wish to receive telemarketing calls can register free of charge on a French telephone opt-out list called “Bloctel” (more information at bloctel.gouv.fr). Once registered, the Company will not carry out telemarketing calls and may contact the Client by phone only for communications strictly related to the execution of a current Order.

To address a security incident, threat, or vulnerability, the Company may implement the following measures online: inform Clients and, if necessary, the supervisory authority; raise awareness among Company staff; strengthen security of offices and workstations. The Company may also take the following measures toward its Clients: require Clients to change their credentials, enforce stronger passwords, and implement enhanced authentication procedures (e.g., two-factor authentication).

For more information on automated data processing and how to exercise your rights, any User can consult the privacy policy, which is always accessible on the Site, as well as the cookie information: https://www.feng-shui-tradition.eu/politique-confidentialite/

Article 11. PARTNER SITES – HYPERTEXT LINKS

The User may access Partner or third-party websites via hypertext links present on the Site or within the Program. These sites are designed and managed under the responsibility of third parties and are not subject to these Terms and Conditions (T&Cs). Consequently, the User is invited to review the contractual terms of use or sale, as well as privacy policies or any other legal information, applicable to these Partner or third-party sites.

The Company exercises no control over such sites and content and disclaims all liability regarding their content or the use by any third party of the information contained therein. This clause applies to all Partner content.

If a third-party site directs its users to the Site, the Company reserves the right to request the removal of the hyperlink pointing to the Site if it considers that the link is not in accordance with its rights or legitimate interests.

Article 12. FORCE MAJEURE OR IMPOSSIBILITY

The Company’s obligations under these Terms are suspended in the event of a fortuitous event or force majeure that prevents their execution. This suspension may concern all or part of the Program. In such a case, the Company will notify the Client as soon as possible of the occurrence of such an event and the estimated duration of the suspension. Only a definitive impediment may give rise to a refund. If the impediment is partial, only a partial refund will be granted.

Under the conditions provided by law, Clients expressly accept that they cannot invoke force majeure to postpone payment (e.g., an invoice) for a Program being followed or in progress, or to refuse delivery of a placed Order.

Force majeure or fortuitous events include, in addition to those commonly recognized by courts and tribunals (without this list being exhaustive): strikes or social conflicts internal or external to the Company, natural disasters, fires, telecommunications interruptions, epidemics and pandemics, interruptions in energy supply, disruptions in communications or transport of any kind, or any other circumstance beyond the Company’s reasonable control.

The Company’s liability cannot under any circumstances be engaged for difficulties encountered by the User or Client in accessing the Site and/or Program due to technical or software failure or any other cause beyond its control. The Client acknowledges being aware of the technical risks inherent to the Internet and mobile networks and of the malfunctions that may result. Consequently, the Company cannot be held responsible for any unavailability, slowdowns, or failures of the Internet or IT systems, except in cases of proven negligence on its part.

Furthermore, in case of incapacity of the personnel responsible for the Program due to illness, accident, family reasons, maternity/paternity leave, etc., the Company reserves the right to replace them and/or suspend the service without the Client being entitled to claim any compensation. The Company will notify the Client within a reasonable time of such incapacity and, as far as possible, the expected duration. Only a definitive impediment confirmed by the Company may give rise to a refund. If the impediment is partial, only a partial refund will be granted.

Article 13. INTELLECTUAL PROPERTY

The Company or its Partners own all intellectual property rights related to the Site and the Program. Intellectual property rights include, but are not limited to, all content, texts, images, videos, graphics, logos, icons, sounds, and software present on the Site or forming the tools and materials delivered on the Site and within the Program.

Access to the Site and the Program does not grant any rights to the User or Client over the intellectual property of the Site and Program, which remain the exclusive property of the Company or its Partners.

The User or Client may not under any circumstances reproduce, display, modify, transmit, publish, adapt, in any form or by any means, or exploit in any way, in whole or in part, the Site or Program without the prior written authorization of the Company or its Partners.

Any unauthorized exploitation of all or part of the Site or Program, in any form, may result in appropriate legal action, including suspension of access to the Program or claims for infringement.

In exchange for payment of the price specified at the time of the Order, the content, techniques, know-how, and methods provided, and more generally all Program information, are granted to the Client under a strictly personal, non-transferable, and non-exclusive right of use for the duration of the Program selected by the Client at the time of the Order.

Accordingly, the Client is prohibited from using or exploiting the Program on behalf of others, including collaborators or acquaintances. The Client is responsible for any unauthorized transfer or sharing of Program content or any sharing of their login credentials. The Client ensures that all personnel who may access restricted Site content or Program materials respect the intellectual property rights of the Company or its Partners.

All distinctive signs used by the Company are legally protected, and any unauthorized use may result in legal action. The Company reserves the right to terminate the Client’s access to the Program in the event of any violation of its intellectual property rights, without prejudice to additional penalties or claims for damages.

Article 14. CLIENT REFERENCES AND COMMUNICATION

Client Reference. Clients may be contacted by the Company to be cited as beneficiaries of the Program. With the Client’s agreement, the Company may be authorized to mention the Client’s name, the feedback they provided on the Program, as well as an objective description of the nature of the Program they received, in its reference lists and proposals to prospects and clients—including on the Site—for advertising and promotional purposes, in interviews with third parties, internal communications to staff, internal planning documents, and whenever required by legal, regulatory, or accounting obligations.

Authorization for Use. When the Client sends writings, videos, and/or photographs to the Company to provide feedback or testimonials regarding the Program, and if applicable posts comments or publications about the Company (for example, on social networks) linked to their identifier or profile picture, the Client authorizes the Company to use this content for the promotion of its commercial activities.

These contents may be protected by image rights and/or copyright, and in such cases, the Client grants the Company the right to adapt (in form) and reproduce them on any media, including presenting them as a commercial reference or testimonial. For example, the Company may take screenshots of social media posts about the Company or the Program the Client received and reproduce them on the Site as testimonials.

The Client acknowledges they are fully entitled to these rights and cannot claim any remuneration for the use of the rights granted under this paragraph. These rights are granted for the lifetime of the Client, plus 70 years, and worldwide. The Company reserves the right to request additional authorization from the Client for any other uses not covered here or on a case-by-case basis.

Events. The provisions above apply equally to videos and photographs taken during any type of event (public, client-only, webinars, workshops, etc.) organized or co-organized by the Company. Event recordings may be captured and published by the Company, including on social media, as excerpts or as full replays (free or paid). If the Client does not wish to appear, they should position themselves at the back, avoid participating in group photos, and refrain from signaling to photographers/cameramen if they could be in the shot. For remote events, Clients may choose a pseudonym and keep their camera off to avoid appearing in screenshots. Professional Clients are responsible for informing their beneficiaries of these filming conditions.

Article 15. EVOLUTION OF THE TERMS AND CONDITIONS

The Company reserves the right to modify the terms, conditions, and provisions of the Terms and Conditions (T&C) at any time and without prior notice, in order to adapt them to changes to the Site, its operations, or the characteristics of the Program. The applicable conditions are those accepted by the Client and communicated to them in the case of distance sales by any durable means of communication.

Modifications to the T&C made by the Company will not apply to Programs already subscribed to, except for clauses related to technical evolution of the Program, provided that there is no increase in price and no deterioration of the quality or characteristics upon which the non-professional Client or consumer based their commitment.

The Client may also be invited to accept the modified T&C; if they do not, the last T&C accepted remain applicable until the Program is fully delivered. If the Company is unable to continue providing the Program under the previous conditions, the Client may request termination and a refund. In such cases, the Company may retain an amount corresponding to the portion of the Program already provided, in accordance with legal provisions.

Article 16. LIABILITY

Warranty. Except as provided under applicable legal or commercial warranties, the Company is not bound to any specific result and provides no express or implied guarantee, including, without limitation, regarding the continuity, performance, results, or durability of the Program, which are subject to uncertainty.

The Program price does not include any costs the Client may incur in pursuing their objectives. Any cost examples, such as advertising expenses, are provided solely as indicative guidance.

Any objectives, success stories, or examples presented by the Company on the Site or within the Program assume the Client implements all advice, techniques, and tools provided. These do not constitute a promise of profit or result, and the Company cannot guarantee that the Client will achieve similar outcomes. These references are used for illustrative purposes only.

Responsibility of Users and Clients. The User or Client is solely responsible for how they interpret and apply information provided in the Program, including any advice received. Using the information is entirely at the Client’s own risk, which they expressly accept.

The Client acknowledges that they have received sufficient information and advice before committing and understands that any desired result carries inherent risks and requires significant effort. The Programs are informational only and do not guarantee any results unless a specific commercial guarantee applies. Programs are not medical, psychological, legal, or financial services, do not grant a state-recognized diploma, and were never offered as such. The Client remains fully free to engage or withdraw from the Program under the contract terms and acts under their sole responsibility.

In discussion spaces, the Client assumes full responsibility as a publisher for the public communication of any information and content, including but not limited to their websites, blogs, social media pages, and accounts. They are solely responsible for the legality, quality, and relevance of the information shared.

Limitation of Liability. Regardless of the Program chosen by a professional Client, the Company’s liability is explicitly limited to direct proven damages incurred by the professional Client. The Company cannot be held responsible for indirect damages, such as loss of data, files, business interruptions, loss of revenue, commercial harm, or damage to reputation. Similarly, the Company is not liable for direct or indirect damages to the User’s equipment arising from accessing the Site, due to either non-compliant equipment or software bugs/incompatibilities.

IN ANY CASE, THE COMPANY’S LIABILITY TO PROFESSIONAL CLIENTS IS CAPPED AT THE AMOUNT PAID (EXCLUDING TAXES) BY THE CLIENT FOR THE PROGRAM IN RELATION TO WHICH THE DISPUTE ARISES. THIS AMOUNT CONSTITUTES THE MAXIMUM THE COMPANY COULD BE REQUIRED TO PAY AS COMPENSATION (DAMAGES AND PENALTIES), REGARDLESS OF THE CLAIMED TYPES OF HARM OR LEGAL BASIS, UNLESS PROHIBITED BY LAW OR CASE LAW.

Article 17. GENERAL PROVISIONS

The Terms and Conditions (T&C), as well as all purchase and sale transactions covered by them, are governed by French law. They are written in French. In the event of translation into one or more other languages, only the French text shall prevail in case of dispute.

The invalidity of any contractual clause does not render the T&C invalid. Temporary or permanent non-application of one or more clauses of the T&C by the Company shall not be considered a waiver of its rights under the remaining clauses, which continue to apply, nor a waiver of the ability to invoke them in the future.

The Client agrees that the Company may assign this contract to its affiliated companies or to a purchaser without prior consent from the Client.

Article 18. DISPUTES

Amicable Resolution. In the event of a dispute, the Client should first contact the Company to attempt an amicable solution.

Mediation. In case of difficulties applying this contract, a European consumer Client has the option, before any legal action, to seek the assistance of a consumer mediator identifiable on the website: https://www.economie.gouv.fr/mediation-conso.

Specifically, the mediator’s details may be:
– Name: [MEDIATOR]
– Address: [MEDIATOR ADDRESS]

The mediator will attempt, independently and impartially, to bring the parties together to reach an amicable solution. Both parties remain free to accept or refuse mediation and, if mediation occurs, to accept or reject the solution proposed by the mediator. In this context, any European consumer may also use the Online Dispute Resolution platform (ODR) accessible at: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooseLanguage.

Disputes Between Professionals. IN THE EVENT OF A DISPUTE BETWEEN A PROFESSIONAL CLIENT AND THE COMPANY REGARDING THE PROGRAM, INCLUDING ITS INTERPRETATION, EXECUTION, AND/OR TERMINATION, EXCLUSIVE JURISDICTION IS ATTRIBUTED TO THE COURTS WITHIN THE DISTRICT OF THE COMPANY’S REGISTERED OFFICE, NOTWITHSTANDING MULTIPLE DEFENDANTS OR THIRD-PARTY CLAIMS, INCLUDING FOR URGENT PROCEEDINGS OR PROTECTIVE MEASURES BY SUMMARY PROCEEDINGS OR REQUEST.
